Frequently Asked Questions
Essential information regarding commercial syndication mechanics, accreditation rules, 80/20 waterfalls, and tax-deferred retirement allocations.
Syndication & Investor Accreditation (SEC Rule 506(b))
What is commercial real estate syndication?
A commercial real estate syndication is a partnership structure where multiple private investors pool their capital alongside an operating sponsor (General Partner, or GP) to acquire, entitle, and develop institutional-scale commercial properties—such as retail centers and QSR assemblages—that would be difficult to acquire individually.
Who is eligible to invest in GainvestorHub offerings?
Our private placement offerings are conducted pursuant to Regulation D Rule 506(b) of the Securities Act of 1933. Participation is open to accredited investors (individuals with $200k+ annual income, $300k+ joint income, or $1M+ net worth excluding primary residence, or accredited entities) as well as up to 35 sophisticated non-accredited investors with whom a pre-existing substantive relationship has been established.
What is the minimum investment check size?
Our standard minimum allocation is $50,000 per commercial offering, though select tranches may permit $25,000 for first-time accredited participants or Solo 401(k) rollovers. Institutional and family office allocations typically range from $100,000 to $1,000,000+.
How does accreditation verification work under Rule 506(b)?
A primary benefit of our Rule 506(b) structure for investors is that it allows self-certification. Unlike Rule 506(c) which legally mandates intrusive third-party CPA verification letters or tax returns, Rule 506(b) permits you to self-certify your accreditation status on our confidential investor questionnaire once a relationship is established.
What is a 'pre-existing substantive relationship'?
Because Rule 506(b) prohibits public advertising of specific deal investment terms, the SEC requires the sponsor and investor to establish a substantive relationship prior to delivering the Private Placement Memorandum (PPM). Submitting an inquiry on this platform and completing an introductory dialogue with our Forsyth County sponsor team fulfills this requirement.
Returns, Cash Flow & The 80/20 Waterfall
How does the 8.0% Preferred Return operate?
Investors receive 100% of all distributable cash flow until they have achieved an 8.0% annualized cumulative preferred return on their unreturned capital contributions. The sponsor takes zero promote or incentive split until the preferred hurdle is completely met.
What is the 80/20 promote split after the preferred hurdle?
Once investors have received their 8.0% preferred return and their initial principal capital has been 100% returned at capital event or disposition, remaining profits are distributed 80% to private investors and 20% to the General Partner as an incentive promote.
How often are distributions paid to investors?
Operating cash distributions are generally distributed on a quarterly basis via direct ACH transfer to the investor's designated bank account or self-directed IRA custodian, accompanied by a detailed sponsor update.
What is the targeted investment hold period?
Our commercial retail and land assemblage projects typically target an investment horizon of 3 to 5 years, allowing sufficient runway for municipal rezoning, site civil work, vertical construction, and tenant lease-up to stabilized cap rates.
Tax Strategies: Solo 401(k) & 1031 Exchange
Can I invest using my Solo 401(k) or Self-Directed IRA?
Yes. Both Solo 401(k)s and SDIRAs can participate. Notably, qualified Solo 401(k) retirement trusts benefit from IRC § 514(c)(9), which exempts them from Unrelated Debt-Financed Income (UDFI) tax on commercial real estate leverage—unlike standard IRAs.
Do you accommodate 1031 Like-Kind Exchanges?
Yes. For investors seeking replacement property within statutory 45-day identification and 180-day closing windows, we provide structured Tenant-in-Common (TIC) or dedicated entity feeder ownership on qualified commercial assets.
When will I receive my annual tax documents (Schedule K-1)?
Each investor receives an annual IRS Schedule K-1 detailing their pro-rata share of partnership income, depreciation, and tax deductions. We target distribution of all K-1s by March 15th each calendar year.
Fees & Sponsor Alignment
Does GainvestorHub charge platform fees?
No. Unlike crowdfunding portals and capital placement agents that siphon 1% to 3% in upfront technology or listing markups, GainvestorHub operates as the direct development sponsor. 100% of your investment capital is deployed directly into the real estate.
Does the sponsor invest its own capital in these deals?
Yes. The sponsor co-invests substantial equity in every commercial assemblage, ensuring strict alignment of interests between the development team and our co-investors.
What diligence documentation can I review prior to investing?
Approved investors receive full access to offering documentation (including Operating Agreements, Joint Venture Agreements, or Private Placement Memorandums where applicable), subscription paperwork, ALTA boundary and topographic surveys, municipal zoning staff reports, and dynamic financial underwriting pro-formas.
